Terms of Business

1. Introduction

These Terms of Business govern the relationship between TEE (The Ecommerce Experts), hereinafter referred to as "the Company", "we", "us", or "our", and our clients, hereinafter referred to as "you", "your", or "the Client".

By engaging our services, you agree to be bound by these Terms of Business. Please read them carefully before proceeding with any project.

2. Services

TEE provides ecommerce development and consultancy services including, but not limited to:

  • Bespoke ecommerce solutions
  • Native iOS and Android ecommerce applications
  • Headless ecommerce storefronts
  • Shopify theme development and customisation
  • Shopify maintenance packages
  • Wix ecommerce development
  • Wix maintenance packages

3. Quotations and Pricing

All quotations provided are valid for 30 days from the date of issue unless otherwise stated. Prices are quoted in GBP and exclude VAT unless otherwise specified.

Additional work outside the original scope will be quoted separately and requires written approval before commencement.

4. Payment Terms

4.1 Project Work

For project-based work, payment is typically structured as follows:

  • 50% deposit upon project commencement
  • 50% balance upon project completion

Alternative payment structures may be agreed upon for larger projects.

4.2 Maintenance Packages

Maintenance packages are billed monthly in advance. Payment is due within 14 days of invoice date.

4.3 Late Payment

We reserve the right to charge interest on overdue payments at 4% above the Bank of England base rate.

5. Project Timeline

Project timelines are estimates and depend on timely provision of materials, feedback, and approvals from the Client. Delays caused by the Client may result in revised delivery dates.

6. Client Responsibilities

The Client agrees to:

  • Provide necessary materials and content in a timely manner
  • Respond to requests for feedback and approvals within reasonable timeframes
  • Ensure accuracy of all information provided
  • Maintain valid licenses for any third-party software or assets

7. Intellectual Property

Upon full payment, the Client receives ownership of all custom code and design work created specifically for their project. We retain the right to use generic code libraries and frameworks across multiple projects.

We reserve the right to display completed work in our portfolio unless otherwise agreed in writing.

8. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the course of the project. This obligation survives the termination of our business relationship.

9. Limitation of Liability

Our liability is limited to the total fees paid for the relevant services. We shall not be liable for any indirect, consequential, or incidental damages.

10. Termination

Either party may terminate the agreement with 30 days written notice. Upon termination, the Client shall pay for all work completed up to the termination date.

11. Governing Law

These Terms of Business are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
